This agreement (“Terms of Use”) between Building Control Management Systems Ltd (“us” or “we”) and you governs your use of the Services (as defined below). Building Control Management Systems Ltd. trade as “BCR Comply”. We reserve the right to modify, supplement or amend these terms of use from time to time in our discretion. Each time you access the Services you agree to these terms and conditions as they may be amended from time to time. To the extent you use the Services as an agent or employee of any organization that has a separate agreement with Building Control Management Systems Ltd or its affiliate(s) for the provision of the Services.
1. THE SERVICES
In these Terms of Use, “BCR Comply” refers to Building Control Management Systems Ltd, a company organized under the laws of the Republic of Ireland with offices registered at Mullagh, Dromahair, Co. Leitrim, Ireland. The “Services” means, collectively, the computer applications, interfaces, software, programs, products, services and websites provided or made available by BCR Comply and its affiliates, which you may use for, among other things, uploading, posting, storing and sharing Content (as defined below).
2. USE OF SERVICES
2.1 Subject to the within Terms of Use, BCR Comply grants you a limited, non-exclusive licence to utilise the Services so long as (i) you are eligible to form a binding contract and (ii) you are not barred from receiving the Services under Irish law or other applicable law. In order to access and/or use the Services, you may be required to provide current, accurate, identification, contact and other information as part of the registration process and/or continued use of the Services, and you will be responsible for maintaining the accuracy and completeness of such information. You may be assigned a username and/or existing email address and password (collectively, “Account ID”), for you to access or use the Services, or to modify your account settings and Content. You are responsible for maintaining the confidentiality of your Account ID and, accordingly, will be fully responsible for all activities that occur under your account, including activities of others to whom you have provided your Account ID. You agree to immediately notify us of any unauthorised use of your Account ID, account or any other breach of security. We will not be liable for any loss or damage arising from your failure to provide us with accurate information or to keep your Account ID secure.
2.2 BCR Comply from time to time may permit users to open accounts for the use of certain Services at no charge and without the need to execute a Subscriber Agreement (collectively, “Free Service Level Accounts”). Free Service Level Accounts may include use of the Services for a limited period (free trials) or for firms or groups of a limited size, in BCR Comply’s sole discretion. If you open a Free Service Level Account, the use of any and all Services by you and any user you invite to your account shall be governed by these Terms of Use; provided, however, that if BCR Comply elects to terminate Services pursuant to these Terms prior to the end of the free trial period or term of your Free Service Level Account stated at the time of your registration, then BCR Comply will endeavour to provide 30 days’ notice to you, through the Services or by email, to allow you to remove Content prior to such termination (unless applicable law or regulations restrict us from providing such notice). Except as provided above, BCR Comply assumes no obligation to notify you of the scheduled termination of any free trial period or term of any Free Service Level Account.
3. POSTING CONTENT; USER CONDUCT
You acknowledge and agree that all information, data, text, photographs, images, files, drawings, designs, specifications, software, sounds, recordings, graphics, video, messages, tags and other materials, in whatever form and technical structure, whether publicly posted or privately transmitted or stored using the Services (“Content”), are the sole responsibility of the person(s) originating such Content and introducing such Content into the Services. We reserve the right, but shall have no obligation, to pre-screen, reject, review, quarantine, delete or move any Content posted or submitted to the Services, without obligation to any person.
You agree that you are responsible for your own conduct and all conduct under your account, and for all Content that is created, stored, shared or published by anyone using your Account ID with the Services and for any consequences arising as a result thereof. You agree to use the Services only for purposes that are legal, proper and in accordance with these Terms of Use, and all applicable laws and regulations in the relevant legal jurisdictions. Without limiting the foregoing, you represent and warrant to BCR Comply that you have the rights and authority to submit your Content to BCR Comply in connection with your use of the Services, and such submission and publication of such Content through the Services does not and will not infringe the rights of any person or third party.
You further agree to NOT:
Use our products or the Services for illegal purposes or for promotion of dangerous activities;
impersonate any person or entity or falsely state or otherwise misrepresent your affiliation with BCR Comply or any other person or entity;
Upload, post or otherwise transmit any Content that you do not have a right to transmit under any law or under contractual duties (such as insider trading regulations, internal corporate policies or nondisclosure agreements);
upload, post or otherwise transmit any Content that infringes any patent, trademark, trade secret, copyright or other proprietary rights of any party;
Upload, post or otherwise transmit any material that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment;
4. Registration and Account Integrity
4.1 As part of the registration process you will need to create an account, including a username & password. It is your responsibility to ensure that the information you provide is accurate, not misleading and relates to you. You cannot create an account or username & password using the names and information of another person or using words that are the trademarks or the property of another party (including ours), or vulgar, obscene or in any other way inappropriate. We reserve the right with or without notice to suspend or terminate any account in breach.
4.2 Where we provide an organisation with a number of user licenses for the Service these must be adhered to. User licenses cannot be shared between users. On our customised plans we will provide an agreed number of licences for each account.
4.3 If for any reason you suspect that your username & password has been disclosed to or obtained by another party you should contact us immediately. Please note that we never contact users requesting them to confirm their username & password or other data.
5. Pricing, Plans and Features
5.1 For current pricing and plans please see the pricing page located on our website or we may provide a customised cost proposal.
5.2 We reserve the right to change pricing, plans and the features offered at any time and without notice to you.
6.Payment and Credit Control
6.1 All services are billed monthly in arrears at an agreed rate or per survey submitted.
6.2 If you upgrade from a free or trial account you will be immediately charged for the necessary full account or accounts. Your monthly payment will be due from that date each month onwards.
6.3 Where the Service has been paid for 12 months in advance, (where this option is offered by us) payment will be taken as agreed with you.
6.4 It is a condition of use that a valid debit or credit card is provided at all times in order for your account or accounts to remain active.
6.5 Where a credit or debit card payment request is made by us and is declined by your card company or bank (for whatever reason) access to your account or accounts may be suspended immediately until such time as a valid payment has been processed and a valid credit or debit card is associated with your account or accounts.
7. Cancellation
7.1 You have the right at any time to cancel your subscription and any data that we are managing or storing for you remains in your ownership. You may download this data or request copies from us and request that we delete any personal information and/or data that we store on your behalf.
8. Upgrading or Downgrading Accounts
8.1 SAAS users may upgrade or downgrade their plans at any time by sending email to info@bcrcomply.com. Customers that avail of our customised system will have their payment options reviewed on an annual basis.
9. Trial and Offer Periods
9.1 We may offer prospective users a free trial, this will be agreed on a case by case basis and in agreement with both parties.
10. Technical Support
10.1 BCR Comply provide ongoing technical support on all plans and systems between the hours of 8.00am and 6.00pm Monday to Friday except on public and bank holidays. Additional support plans are agreed on a case by case basis.
11. Content Ownership
11.1 All content, data or information that you upload to our platform remains in your ownership. BCR Comply provide a system for our users to carry out their day to day compliance duties with regard to building construction and building inspection, we provide secure storage for all your content, data and information and we provide customer support to all our clients.
12. Copyrighted Material
12.1 All content, data and information is in your ownership. The platform and all its features are in the ownership of BCR Comply and any features of our system may not at any time be copied or used for any other purpose other that the provision of administration and inspection of construction and buildings.
13. Access and Backups
13.1 You may at any time request a backup copy of all content, data and information that to manage and store on our platform. Data that you may delete, either deliberately or by accident is stored for a limited time on our servers and final deletion will be at your instruction only.
